Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of PersonaHive (the "Service"), operated by atelierR design studio Kft. ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

PersonaHive is an AI consumer research platform that generates census-calibrated synthetic personas and simulated consumer responses. The Service is provided on a subscription basis and may include features such as workflow templates, persona libraries, analytics dashboards, and team collaboration.

3. Eligibility & Accounts

You must be at least 18 years old and authorized to bind the organization on whose behalf you register. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at founders@personahive.ai of any unauthorized access.

4. Acceptable Use

Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension or termination of your account without refund.

5. AI Outputs & Disclaimer

The Service produces AI-generated outputs, including synthetic personas and simulated responses. You acknowledge and agree that:

• Synthetic personas are statistical constructs and do not represent any real individual.
• Outputs constitute directional research signal intended to inform decision-making; they are not a substitute for properly powered statistical projection, regulated clinical research, or professional advice.
• You are solely responsible for how you interpret, act on, and disclose AI outputs, including appropriate disclaimers when sharing results externally.

6. Intellectual Property

We retain all right, title, and interest in and to the Service, including all software, models, templates, and documentation. You retain all rights in the inputs you submit ("Customer Content").

You grant us a limited, worldwide, royalty-free license to host, process, and display Customer Content solely to provide and improve the Service for you. We do not use Customer Content to train foundation models. Aggregated, anonymized usage data may be used to improve the Service.

7. Subscriptions & Billing

Subscriptions are billed in advance on a recurring basis and renew automatically until cancelled. Prices are listed on our pricing page and may change with at least 30 days' notice; existing paid terms are honored at the original price.

Merchant of Record. All payments are processed by Polar Software, Inc. ("Polar"), 3500 South DuPont Highway, Dover, DE 19901, United States, which acts as the Merchant of Record and authorized reseller for purchases made through the Service. Polar is responsible for collecting payment, calculating and remitting sales tax, VAT and GST, issuing receipts, and handling chargebacks. Card processing is performed by Stripe as Polar's payment processor. Your transaction is also subject to Polar's Buyer Terms and Conditions and Privacy Policy.

8. Refunds

Refunds are governed by our Refund Policy and processed by Polar. In summary: a 14-day refund window applies to new subscriptions where credits remain unused.

9. Term & Termination

Either party may terminate the agreement at any time. You may cancel your subscription from your account settings or by emailing founders@personahive.ai. We may suspend or terminate access for breach of these Terms, non-payment, or risk to the Service. Upon termination, your right to use the Service ends immediately; sections that by their nature should survive (IP, liability, indemnity, governing law) survive.

10. Warranties & Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except to the extent such warranties cannot be disclaimed under applicable law. We do not warrant that AI outputs will be accurate, complete, or fit for any specific purpose.

11. Limitation of Liability

To the maximum extent permitted by law, in no event shall our aggregate liability arising out of or relating to these Terms or the Service exceed the greater of (a) the amounts paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (€100). We shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service in breach of these Terms, your Customer Content, or your violation of any law or third-party right.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Hungary, without regard to its conflict of laws principles. The courts of Hungary have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any court of competent jurisdiction.
